What is a CAFLW1 security token?
The CAFLW1 token (Cellini Art Fund Leonardo WANTED 1) is a private security token issued by Cellini Art Fund S.p.A. to finance the production of the feature-length documentary film Leonardo WANTED.
It constitutes a structured financing instrument granting defined economic participation rights linked to the commercial performance of the film, in accordance with the applicable offering documentation.
CAFLW1 constitutes a financial instrument under MiFID II (Directive 2014/65/EU), issued as a private placement by Cellini Art Fund S.p.A. operating within its corporate purpose. The total consideration of the issuance remains below the applicable national threshold, and accordingly no prospectus is required pursuant to Article 1(3) of the EU Prospectus Regulation as implemented in Italian law.
CAFLW1 grants holders contractual participation in the net revenues generated from the commercial exploitation of Leonardo WANTED.
Token holders are entitled to receive 50% of the film’s net revenues, distributed annually following approval of the company’s audited financial statements and in accordance with the official offering terms.
Participation is directly tied to the actual economic performance of the film.
Leonardo WANTED is currently in structured pre-production. The project has completed an initial phase of academic development, including recorded interviews with leading experts and the collection of primary research materials that form the intellectual foundation of the film.
The film is being developed as a feature-length documentary combining historical investigation, expert testimony, archival research, and planned dramatic reconstructions. Production planning, visual development, and financing structuring are currently in progress.
