CAFTR Token Information

1. Token Structure and Allocation

Team AllocationNo CAFTR tokens are allocated to the project team, partners, or consultants. This structure ensures equal treatment among all participants.
Reserved TokensAny tokens not subscribed prior to the start of production were placed in reserve. The allocation or use of reserved tokens is determined by the shareholders of Cellini Art Fund S.p.A., in accordance with corporate governance decisions.
Private Placement PeriodThe CAFTR private placement ran from 14 July 2023 to 27 October 2023. The issuance is now closed. The nominal value of one CAFTR token is €100.00. Existing holders who have not yet completed onboarding should contact moc.dnuftrainillec%40troppus for assistance.
Token Issuance and Supply PolicyCAFTR tokens were issued in a single tranche. No additional issuances or future token releases are planned. The total token supply was structured in relation to the estimated production cost of the documentary series.
Token TransferabilityCAFTR tokens are not subject to locking or vesting mechanisms. Token holders retain the ability to manage their holdings in accordance with applicable terms and regulations.

2. Token Subscription

The nominal value of one CAFTR token is €100.00. The subscription phase is closed. Existing holders who have not yet completed onboarding should contact moc.dnuftrainillec%40troppus for assistance.

3. Revenue Participation and Distribution

To receive distributions linked to the commercial performance of Tarocchi e Racconti, CAFTR token holders must deposit their tokens into the designated dividend distribution smart contract.
Deposit instructions will be provided following the commencement of the series' commercial exploitation. Holders will receive step-by-step guidance throughout the process.
At the end of each financial year, following approval of Cellini Art Fund S.p.A.'s audited financial statements, 50% of net revenues generated by the commercialisation of the series will be distributed to eligible token holders who have completed the deposit.
CAFTR tokens also carry a conversion right, allowing holders to exchange them for CLLI security tokens at nominal value, subject to the conditions set out in the relevant documentation.
Distributions are contingent upon revenue generation and calculated in accordance with applicable accounting standards and offering documentation.

How the Subscription Process Works

Here are the steps involved in acquiring CAFTR tokens

1. Complete Identity Verification (KYC)

KYC, or Know Your Customer, is a standard identity verification process required to assess eligibility and ensure compliance with applicable regulations. We work with our independent compliance partner, Sumsub, to conduct this verification.
Cellini Art Fund S.p.A. does not collect, store, or process personal information submitted during the KYC process. Depending on your selected investment method, you will be guided through the relevant verification steps, which may include submitting identification documents for review.
For optimal convenience, we recommend completing the KYC process on a mobile device.
If you are subscribing on behalf of a corporate entity, please complete the dedicated corporate application form before initiating KYC.

2. Whitelisting Confirmation

Once the KYC verification process has been successfully completed, you will receive a notification confirming your whitelist status.
Following whitelisting, we will contact you by email with detailed instructions outlining the next steps required to proceed with the subscription. Please ensure you monitor your inbox to avoid delays.

3. Subscription Settlement and Token Delivery

After whitelisting, we will guide you through the settlement process and provide instructions on how to complete your investment and securely receive your tokens.
You will also receive guidance on best practices for storing and managing your tokens safely.

Once the contract address is entered, the token name CAFTR will appear automatically.6. Click Add Custom Token to complete the process.
Security NoticeAlways ensure that you are using the official CAFTR contract address when adding the token to your wallet. Step 10: Set a PasswordCreate a strong password for your wallet, confirm it, and click Create to finish the setup.
